ARROW FINANCIAL CORPORATION,
a New York corporation, was incorporated on March 21, 1983 and is registered as
a bank holding company. The Company owns two nationally chartered banks in New
York, Glens Falls National Bank and Trust Company (Glens Falls, New York) and
Saratoga National Bank and Trust Company (Saratoga Springs, New York), as well
as two non-bank subsidiaries, the operations of which were not significant. The
Company owns directly or indirectly all voting stock of all its subsidiaries.
The business of the Company consists primarily of the ownership, supervision and
control of its bank subsidiaries. The Company provides its subsidiaries with
various advisory and administrative services and coordinates the general
policies and operation of the
subsidiary banks. There were 381 full-time equivalent employees of the Company
and the subsidiary banks at December 31, 1999.
The Company through its subsidiary banks offers a full range of commercial and
consumer financial products. The banks' deposit base consists of core deposits
derived principally from the communities which the banks serve. The banks target
their lending activities to consumers and small and mid-sized companies in the
banks' immediate geographic areas. In addition to traditional banking services,
the Company offers credit card processing services for other financial
institutions and, through its banks' trust departments, provides retirement
planning, trust and estate administration services for individuals and pension,
profit-sharing and employee benefit plan administration for corporations.
The Company's registered office is located at 250 Glen Street, Glens Falls, New
York. The Common Stock is traded
on The NASDAQ Stock Market under the symbol "AROW".
